Terms of Service

1. Eligibility

You must be at least 18 years old and able to enter a binding agreement to use VizionLyst. If you use VizionLyst on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

VizionLyst provides software tools for sports-card sellers, including account access, checkout flows, listing preparation, pricing support, and marketplace workflow support. Features may be added, changed, limited, suspended, or discontinued over time.

3. Digital Delivery

VizionLyst is delivered electronically. We do not ship physical goods through the website. Access to features, listing credits, plan limits, and connected workflows may depend on account status, payment status, technical availability, and marketplace authorization.

4. Accounts and Credentials

You are responsible for keeping login credentials, devices, connected accounts, API access, and marketplace credentials secure. You are responsible for activity under your account or through connections you authorize. Notify us promptly at support@vizionlyst.com if you believe your account or connected access has been compromised.

5. Free Trials and Promotional Offers

An eligible customer may receive one public free trial tied to the normalized email or account and the authenticated eBay seller identity. The trial provides 20 total sets for 14 days from verified account provisioning and ends when 14 days pass or all 20 sets are used, whichever happens first. It does not refresh monthly, requires no payment card, and is not a recurring Stripe subscription.

Previous public-trial use by either the normalized email or account or the connected eBay seller identity makes another public trial unavailable. At either limit, account access and existing work remain available, but new scanning requires an eligible paid plan. Unused trial sets do not carry into a paid allowance, and trial users cannot purchase paid-account top-ups.

VizionLyst may offer promotional codes from time to time. Eligibility, discounts, code duration, plan availability, redemption limits, and offer terms may be changed or withdrawn at any time unless prohibited by law.

Promotional codes are intended for the email address and plan eligibility configured by VizionLyst. Codes may not be transferred, resold, or used in a misleading way.

6. Purchases, Subscriptions, and Billing

Paid services may be offered on a subscription, usage, booster, or other digital purchase basis. Prices, plan limits, included volumes, renewal terms, taxes, and available checkout methods may change. Payments are processed by a payment provider, and you authorize charges for the purchases or subscriptions you select.

Each subscription is designed and intended for use by one person. You may not share an account, pool access across multiple users, or use one subscription to support multiple people unless VizionLyst expressly allows it in writing.

Subscriptions renew automatically until canceled. You authorize VizionLyst or its payment processor to charge your payment method for recurring fees, taxes, and applicable usage charges. Canceling stops future billing, but you may retain access until the end of the then-current billing period.

Due to the nature of digital software, subscriptions, usage credits, and other digital purchases are non-refundable and are not prorated unless a checkout page, separate written agreement, or applicable law requires otherwise.

7. License and Restrictions

Subject to these Terms, VizionLyst grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website and services for your internal business or personal selling workflows.

You may not:

• Resell, sublicense, lease, or transfer access without permission.
• Scrape, harvest, crawl, or extract data except through allowed product features.
• Reverse engineer, decompile, or attempt to derive source code or non-public systems.
• Bypass access controls, rate limits, security controls, plan limits, or technical safeguards.
• Use VizionLyst outputs or user content to train competing AI or machine learning systems without permission.
• Use the services for unlawful, infringing, fraudulent, abusive, or harmful purposes.

8. User Content

User Content includes images, card information, metadata, listing inputs, files, messages, and other materials you upload, submit, transmit, or process through VizionLyst.

Ownership

You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to VizionLyst.

License to operate the service

You grant VizionLyst a limited, worldwide, royalty-free license to host, use, copy, process, store, transmit, display, and create outputs from your User Content as needed to provide, secure, maintain, support, and improve the services. This includes transmitting content and generated outputs to eBay or another connected platform at your direction.

This license ends when you delete the content or close your account, except for copies retained in routine backups, audit logs, support records, dispute records, marketplace transmissions, or where retention is required or allowed by law.

Your responsibilities

You represent that you have the rights needed to submit User Content and that your content, listings, and marketplace activity comply with applicable law, third-party rights, and marketplace rules.

9. Generated Outputs

Generated Outputs include listing titles, descriptions, item specifics, condition language, pricing suggestions, metadata, and other content produced by VizionLyst. You may use Generated Outputs for your listings and related commercial workflows, subject to these Terms.

Generated Outputs may contain mistakes, omissions, inaccurate details, outdated market assumptions, or marketplace-policy issues. You are solely responsible for reviewing and approving outputs before using, publishing, or relying on them.

VizionLyst does not claim ownership of Generated Outputs. We may retain Generated Outputs as part of normal service operation, support, audit, reliability monitoring, and account history.

No public model training

We will not use your User Content to train public or third-party AI models. We may use aggregated, anonymized, or de-identified data derived from usage patterns to improve system performance, accuracy, reliability, and abuse prevention.

10. Third-Party Platform Integrations

VizionLyst may integrate with eBay and other third-party platforms. By connecting a platform account, you authorize VizionLyst to access that account through approved APIs or authorization flows, transmit listing data, images, descriptions, generated outputs, and related content to the platform, and retrieve account or listing information as needed to provide the services.

Third-party platforms are governed by their own terms, policies, APIs, and enforcement decisions. VizionLyst is not responsible for platform downtime, policy changes, API changes, listing removals, account restrictions, buyer disputes, seller performance consequences, or other platform actions.

You may revoke platform access through the platform's account settings when available. Revocation may limit or prevent connected features from working. You remain responsible for verifying that any listing published through VizionLyst complies with the applicable platform's rules.

11. AI and Automated Output Disclaimer

VizionLyst uses automated and AI-assisted systems. Outputs are provided for workflow support and may be incomplete, incorrect, or unsuitable for a specific listing, business, legal, financial, tax, or compliance purpose. You must independently verify all important information, including card identity, condition, authenticity, grade, price, shipping, marketplace category, item specifics, and listing text.

12. Prohibited Uses

You agree not to:

• Violate laws, regulations, intellectual property rights, privacy rights, or marketplace policies.
• Submit false, misleading, infringing, harmful, or unauthorized content.
• Send spam, abuse support channels, or interfere with other users.
• Introduce malware, attempt unauthorized access, test vulnerabilities without permission, or disrupt service operations.
• Use bots, automated tools, or bulk access methods except as expressly allowed by VizionLyst.
• Misrepresent trading-card condition, authenticity, grade, scarcity, ownership, price, or transaction terms.

13. Intellectual Property and DMCA

The website, software, designs, logos, text, workflows, and other VizionLyst materials are owned by VizionLyst or its licensors and are protected by intellectual property laws. Except for the limited license granted above, all rights are reserved.

Copyright or intellectual-property notices may be sent to support@vizionlyst.com. Misrepresenting infringement claims may have legal consequences.

14. Beta, Availability, and Changes

VizionLyst may be offered as an alpha, beta, preview, early-access, or evolving service. Features may be experimental and may change without notice. We do not guarantee uninterrupted availability, preservation of every feature, compatibility with every marketplace workflow, or continuous access to any preview environment.

15. No Warranty

To the fullest extent permitted by law, VizionLyst is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and course of performance.

16. Limitation of Liability

To the maximum extent permitted by law, VizionLyst and its owners, team members, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, marketplace penalties, account restrictions, business interruption, or substitute services.

To the maximum extent permitted by law, total liability for claims arising out of or relating to the services will not exceed the amount you paid to VizionLyst for the services giving rise to the claim during the twelve months before the event giving rise to liability.

17. Indemnification

You agree to defend, indemnify, and hold harmless VizionLyst and its owners, team members, affiliates, service providers, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the services or Generated Outputs.
• User Content you submit or publish.
• Your marketplace listings, sales, buyer disputes, or platform account activity.
• Your violation of these Terms, applicable law, third-party rights, or marketplace policies.
• Your misrepresentation of any item's condition, authenticity, grade, value, ownership, or transaction terms.

18. Termination

We may suspend or terminate access to VizionLyst at any time if we believe you violated these Terms, created risk, misused the services, failed to pay amounts due, or used the services in a way that could harm VizionLyst, users, service providers, or third parties. You may stop using the services at any time. Termination does not automatically entitle you to a refund.

19. Disputes, Arbitration, Governing Law, and Class Waiver

Before filing a formal claim, you agree to contact support@vizionlyst.com and try to resolve the dispute informally. If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, unless applicable law requires a different forum.

Unless a written agreement states otherwise or applicable law requires a different rule, these Terms are governed by the laws applicable to VizionLyst's principal place of business, without regard to conflict of law rules. Arbitration or other proceedings will take place in or nearest to that jurisdiction unless applicable law requires otherwise.

To the extent permitted by law, you and VizionLyst agree to bring claims only in an individual capacity and not as a plaintiff, class member, or representative in any class, consolidated, private attorney general, or representative action.

20. Survival

Sections covering license restrictions, User Content, Generated Outputs, third-party platform integrations, AI disclaimers, intellectual property, no warranty, limitation of liability, indemnification, disputes, governing law, class waiver, severability, and any obligations that by their nature should continue will survive termination.

21. Severability, Assignment, and Entire Agreement

If any part of these Terms is found unenforceable, the remaining parts remain in effect. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, corporate reorganization, or similar transaction. These Terms and the Privacy Policy are the entire agreement between you and VizionLyst regarding the services unless a separate written agreement applies.

22. Force Majeure

VizionLyst is not liable for delay or failure caused by events outside our reasonable control, including natural disasters, outages, labor disputes, government actions, marketplace API failures, payment processor failures, hosting failures, internet disruptions, cyberattacks, war, terrorism, epidemic, pandemic, or other similar events.

23. Changes to These Terms

We may update these Terms from time to time by posting a revised version on this page. Continued use of the website or services after changes become effective means you accept the updated Terms.

24. Electronic Communications

You agree that VizionLyst may communicate with you electronically using the email address or other contact information you provide. These communications may include account notices, product messages, billing notices, support replies, integration status updates, security alerts, legal notices, and product updates.

25. Contact

VizionLyst is the responsible product and support brand for browser-based trading-card listing software that helps sellers prepare and review eBay listing drafts.

VizionLyst is an independent product and is not affiliated with, endorsed by, or sponsored by eBay or any card publisher or licensor.
